1. Definitions & Agreement
"We", "Us", "Our" refers to Visiclic™, an enterprise operated by Thomas G.
"You", "Client", "User" refers to any person or entity purchasing or using our services.
"Services" refers to all products and offerings including website creation, SEO, automation, AI integrations, and consultations.
"Agreement" refers to the Service Agreement, Proposal, or any other document that incorporates these Terms and Conditions by reference.
By executing an Agreement with Us, you agree to be legally bound by these Terms and Conditions.
2. Service Overview
Visiclic™ provides custom-designed websites, Search Engine Optimization (SEO), AI automation services (Visiclic AI Flow™), and premium enterprise-level solutions (Visiclic Quantum™).
Specific deliverables for each project will be outlined in a separate Service Agreement.
3. Ownership and Intellectual Property
All underlying tools, development frameworks, and pre-existing code produced by Visiclic™ remain the intellectual property of Visiclic™.
Upon full and final payment by the Client, the Client is granted full ownership of the final, delivered website files and the specific visual design created for the project.
Names like Visiclic™, Visiclic AI Flow™, and Visiclic Quantum™ are part of an active commercial identity and intellectual property portfolio. Unauthorized use is strictly prohibited without the express written consent of Thomas G. or his authorized representatives.
4. Client Responsibilities
You agree to:
- Provide timely and accurate information, content, and resources required for project delivery.
- Respond to communication requests in a reasonable timeframe.
- Refrain from using any service provided by Visiclic™ for illegal, fraudulent, or unethical purposes.
- Ensure that all content you supply (text, images, logos, etc.) is copyright-cleared and does not infringe on third-party rights.
5. Payment Terms
All payments are to be made in USD unless otherwise agreed in writing.
A 50% non-refundable deposit is due upon signing the Agreement to commence work. The final 50% is due upon project completion and before final delivery.
Work will not commence or continue on overdue invoices. A late fee of 3% per month may be applied to balances overdue by more than 30 days.
Monthly plans are billed on a recurring basis and will continue until explicitly canceled.
6. Cancellations and Refunds
You may cancel any ongoing monthly plan by providing at least 7 days' written notice before the next billing cycle.
Refunds are not provided for services already rendered or for deposits on projects where work has commenced.
7. Confidentiality
Both parties agree to keep all non-public information, business details, and strategies shared during the project confidential.
This information will not be disclosed to third parties without express written consent, except as required by law.
8. Portfolio and Website Credit
The Client agrees that Visiclic™ reserves the right to showcase the completed project in our online portfolio and marketing materials. The Client also agrees to allow a discreet "Made by Visiclic™" or similar credit, with a link back to our website, to be placed in the footer of the delivered website.
9. Warranty Disclaimer
ALL SERVICES ARE PROVIDED "AS-IS" WITHOUT WARRANTY OF ANY KIND. VISICLIC™ EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability & Indemnification
Limitation of Liability: Visiclic™ shall not be held liable for indirect, incidental, or consequential damages, including lost profits.
In no event shall the total aggregate liability of Visiclic™ for any and all claims arising from an Agreement exceed the total amount of fees paid by the Client to Visiclic™ under that specific Agreement.
Indemnification: The Client agrees to indemnify, defend, and hold harmless Visiclic™ and Thomas G. from any and all claims, damages, and expenses (including reasonable attorney's fees) arising from a breach of third-party intellectual property rights related to materials provided by the Client.
11. Governing Law and Forum Selection
These Terms and any dispute arising from them shall be governed by the laws of the Province of Quebec, Canada. The parties agree that any legal action or proceeding shall be litigated exclusively in the courts located in Quebec, Canada.
12. General Provisions
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement: These Terms, along with the corresponding Service Agreement, constitute the entire agreement between the parties and supersede all prior oral or written agreements or communications.
Modifications: Visiclic™ reserves the right to update these Terms at any time. Clients will be notified of material changes. Continued use of our services constitutes acceptance of the revised policy.
