1. Definitions
"We","Us", "Our" refer to Visiclic™, operated by Thomas G.
"You","Client", "User" refers to any person or entity using our services.
"Services"refers to all products and offerings including website creation, SEO, automation, AI integrations, and consultations.
2. Service Overview
Visiclic™ provides: Custom designed websites, Search Engine Optimization (SEO).
AI automation services via Visiclic AI Flow™.
Premium enterprise level solutions via Visiclic Quantum™.
3. Ownership and Intellectual Property
All content, designs, tools, and custom developments produced by Visiclic™ are the intellectual property of Visiclic™ unless otherwise agreed in writing.
Unauthorized use, reproduction, or distribution of any Visiclic™ assets, branding, code, documentation or services is strictly prohibited.
Names like Visiclic™, Visiclic AI Flow™, Visiclic Quantum™ are part of an active commercial identity and intellectual property portfolio.
Unauthorized use, reproduction or representation of any of these names by third parties is strictly prohibited without the express written consent of Thomas G. or his authorized representatives.
4. Client Responsibilities
You agree to:
- Provide timely and accurate information and resources required for successful project delivery.
- Respond to communication requests in a reasonable timeframe.
- Refrain from using any service provided by Visiclic™ for illegal, fraudulent,or unethical purposes.
- Ensure that content you supply for the project (text, images, etc.) is copyright-cleared and does not infringe on third-party rights.
5. Payment Terms
All payments are to be made in USD, unless expressly agreed otherwise in writing.
-50% payment due upon agreement. Final 50% due upon project completion and before delivery.
- Work will not commence or continue on overdue invoices.
- Project deposits are non-refundable once the development phase has begun.
- Monthly plans for services such as SEO and AI integrations are billed on a recurring basis unless explicitly canceled.
6. Cancellations and Refunds
- You may cancel any ongoing monthly plan by providing at least 7 days' written notice before the next billing cycle.
- Refunds are not provided for services already rendered unless failure is due to demonstrable negligence or fault on our part.
- We reserve the right to cancel any service at our discretion if misuse, abuse, or non-payment is identified.
7. Confidentiality
All sensitive information, business details, strategies, or assets shared with Visiclic™ shall remain confidential and will not be sold, shared or disclosed to third parties without express written consent.
We implement commercial-grade safeguards to protect your privacy and data integrity.
8. Limitation of Liability
Visiclic™ shall not be held liable for:
- The outcome or interpretation of SEO rankings, given the uncontrollable nature of third-party search engine algorithms.
- Client misuse or unauthorized modifications of any delivered project.
- Disruptions caused by external third-party applications, plugins or services.
9. Modifications to Terms
Visiclic™ reserves the right to update or revise these Terms at any time. Clients will be notified via email or website update. Continued use of our services following a change in terms constitutes acknowledgment and acceptance of the revised policy.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, where Visiclic™ operates.
